  • Introduction
    • Polymath Solar (Pty) Ltd operates an online e-commerce platform, known as The Solar Marketplace, dedicated to serving the solar industry. Hereinafter referred to as “The Solar Marketplace”.
  • Website Ownership and Operation
    • The Solar Marketplace is accessible at the web address www.TheSolarMarketplace.net and its associated mobile site (referred to as the "Website").
    • The Website is the property of and managed by Polymath Solar (Pty) Limited, hereinafter referred to as "Polymath Solar," "The Solar Marketplace," "TSM," "we," "us," or "our."
  • Terms and Conditions Overview
    • These terms and conditions, herein referred to as the "Terms and Conditions," govern the process of ordering, selling, and delivering of goods, as well as the utilization of the Website.

    • By using the Website and clicking the "Register Now" button when applicable, you acknowledge that you have read, understood, and agreed to abide by these Terms and Conditions.
  • Shopping for Solar-Related Goods
    • The Website provides an online shopping platform for a wide range of solar industry-related products, including but not limited to solar panels, inverters, batteries, cables, switchgear, solar panel mounting components, and solar consumer products (collectively referred to as "Goods").
  • Use of the Website
    • When using our website, regardless of your geographical location, you are required to adhere to these Terms and Conditions. This is contingent on the condition that any delivery address, including those for returns collections, must be within the borders of the Republic of South Africa.
  • Third-Party Seller Participation
    • Polymath Solar allows third-party sellers to list and sell their products on the Website, each of whom shall be referred to as a "Third-Party Seller."
      • It is important to note that on specific product and checkout pages, Polymath Solar will clearly indicate when Goods are offered for sale by a Third-Party Seller.
      • Certain clauses within these Terms and Conditions pertain exclusively to purchases made from Third-Party Sellers, while others apply solely to purchases from Polymath Solar. The applicability of these terms will be distinctly specified in the relevant sections.
  • Important Notice
    • These Terms and Conditions are applicable to individuals classified as consumers under the Consumer Protection Act, 68 of 2008 (referred to as the "CPA").
    • These Terms and Conditions include clauses presented in a similar format and style to this section, which:
      • May serve to limit the risk or liability of Polymath Solar or a third party.
      • May create risk or liability for you, the user.
      • May require you to indemnify Polymath Solar or a third party.
      • Serve as an acknowledgment, by you, of certain facts.
    • You are directed to these Terms and Conditions because they hold significant importance and should be carefully reviewed.
    • If any provision within these Terms and Conditions is unclear to you, it is your responsibility to request an explanation from Polymath Solar before accepting the Terms and Conditions or continuing to use the Website.
    • These Terms and Conditions do not, in any way, intend to unlawfully restrict, limit, or circumvent any rights or obligations established for either you or Polymath Solar under the CPA.
    • The usage of this Website is permitted by Polymath Solar, subject to these Terms and Conditions. By accessing and using this Website in any manner, you are considered to have unconditionally accepted all these Terms and Conditions. If you do not agree to these Terms and Conditions, please refrain from using the Website.
  • Returns
    • For detailed information about returning products, including refund, replacement, or repair procedures, please consult the Returns Policy of the product. The Returns Policy is an integral part of these Terms and Conditions.
  • Registration and Use of the Website
    • Ordering Goods on the Website is restricted to registered users.
    • To register as a user, you must supply a unique username and password, and provide specific personal information to Polymath Solar. This unique username and password are essential for accessing the Website and making purchases.
    • You confirm and warrant that your username and password are exclusively for personal use and shall not be shared with any third party.
    • As a security measure, you agree to provide the correct username and password when placing orders. Failure to do so will result in denied access.
    • You acknowledge that once the accurate username and password for your account are entered, regardless of whether the usage is unauthorized or fraudulent, you are responsible for the payment of such orders. Exceptions are applicable when an order is cancelled in compliance with these Terms and Conditions.
    • You commit to immediately notifying Polymath Solar upon discovering or reasonably suspecting any unauthorized access or usage of your username and password. It is also your duty to take measures to mitigate any potential losses or damages.
    • By utilizing the Website, you affirm that you are at least 18 years of age and possess full legal capacity. If you are below 18 years of age or are not legally allowed to enter into a binding agreement, you may only use the Website under the supervision and consent of your parent or legal guardian. In such a case, the supervising party agrees to be bound by these Terms and Conditions and assumes responsibility for your compliance with these Terms and Conditions.
    • You undertake not to use any device, software, or other means to interfere with the proper functioning of the Website. Additionally, you agree not to employ any automated or manual process, including robots, spiders, or similar tools, to monitor, copy, distribute, or modify the Website or its contents without the prior written consent of an authorized representative from Polymath Solar (except for standard search engine technology utilized by Internet search engines to direct users to this Website).
    • The Website may not be used for the distribution of defamatory, offensive, hate speech, or unlawful material.
    • You are prohibited from displaying, publishing, copying, printing, posting, or using the Website and its contents in any manner without the express prior written consent of an authorized Polymath Solar representative.
  • Conclusion of Sales and Stock Availability
    • Users who have registered may submit orders for Goods, which may be accepted or rejected by Polymath Solar or the Third-Party Seller. The acceptance of an order by Polymath Solar or the Third-Party Seller depends on factors such as the availability of Goods, the accuracy of information related to the Goods (including, but not limited to, the price), and the receipt of payment or payment authorization by Polymath Solar for the Goods.
    • IMPORTANT: The acceptance of your order by Polymath Solar or the Third-Party Seller will be confirmed when the Goods are delivered to you or when you are allowed to collect them. Only at this point will a sales agreement between you and Polymath Solar or the Third-Party Seller be established (referred to as the “Sale”). This remains true regardless of any communication from Polymath Solar confirming your order or payment. If Polymath Solar or the Third-Party Seller rejects your order, it will be cancelled, and you will be promptly refunded for any amounts paid.
    • You have the option to cancel an order at any time before receiving a dispatch or delivery notification for the Goods. After receiving the Goods or collecting them, you may return them in accordance with the Returns Policy.
    • Placing Goods in a wish list or shopping basket without completing the purchase process does not constitute an order for those Goods. Therefore, Goods may be removed from the shopping basket if they are no longer available or if their price changes without notice. Polymath Solar and the Third-Party Seller cannot be held liable if such Goods become unavailable or if their price changes when you complete or attempt to complete the purchase later.
    • You acknowledge that the stock of all Goods offered is limited and that pricing may change at any time without prior notice. In the case of Goods sold by Polymath Solar, Polymath Solar will make reasonable efforts to monitor stock levels and discontinue offers on the Website when stock is no longer available. However, stock availability cannot be guaranteed. If Goods become unavailable after you have placed an order, Polymath Solar will notify you, and you will be entitled to a refund of any amount already paid for those Goods.
    • For Goods sold by a Third-Party Seller, Polymath Solar relies on inventory information provided by the relevant Third-Party Seller and assumes no liability for inaccuracies in this information. Consequently, if you order Goods from a Third-Party Seller that are actually sold out, any resulting disputes should be resolved between you and the relevant Third-Party Seller, and your respective rights and obligations will be as set out in these Terms and Conditions.
    • Certain Goods may not be purchased for resale. If we suspect that any such Goods are being purchased for resale, we reserve the right to cancel your order with immediate notice.
  • Payment
    • We provide secure online payment options. Card acquiring and security Card transactions will be acquired for Polymath Solar via PayGate (Pty) Ltd who are the approved payment gateway for all South African Acquiring Banks. DPO PayGate uses the strictest form of encryption, namely Secure Socket Layer 3 (SSL3) and no Card details are stored on the website. Users may go to www.paygate.co.za to view their security certificate and security policy.
    • Customer details separate from card details Customer details will be stored by Polymath Solar separately from card details which are entered by the client on DPO PayGate’s secure site. For more detail on DPO PayGate refer to www.paygate.co.za.
    • Transaction currency is South African Rand (ZAR) at the time of launching this service.
    • Whether the Goods are sold by Polymath Solar or a Third-Party Seller, you can make payments for Goods using the following methods, subject to their availability and your eligibility to use them:
      • Debit card: When paying with a debit card, we may require additional information for authorization and validation of payment. In such cases, we are authorized to withhold delivery until we receive the necessary information and obtain authorization for the payment. Failure to obtain authorization will result in the cancellation of your order. You warrant that you have full authorization to use the supplied debit card for payment and that it has sufficient available funds to cover all costs incurred for the services on the Website.
      • Credit card: When paying with a credit card, Visa or Mastercard, we may require additional information for authorization and validation of payment. In such cases, we are authorized to withhold delivery until we receive the necessary information and obtain authorization for the payment. Failure to obtain authorization will result in the cancellation of your order. You warrant that you have full authorization to use the supplied credit card for payment and that it has sufficient available funds to cover all costs incurred for the services on the Website.
      • Direct bank deposit or electronic funds transfer: If you choose to pay via direct bank deposit or electronic funds transfer, payment must be made within five (5) days of placing your order. Polymath Solar will not accept your order if payment is not received within this period. 
      • SiD Secure EFT.  This is secure immediate payment from your online banking.  The same encryption technology that is used with credit cards, is used with SiD Secure EFT.  With SiD, you can pay directly from your internet banking. Your funds will clear immediately – no proof of purchase required.  The transaction will be completed immediately.
      • Polymath Solar Vouchers.
    • You may contact our Help Centre to obtain a complete record of your payment. We will also send you email notifications regarding your order and payment.
    • After selecting your payment method (except for cash on delivery or direct bank deposit), you will be directed to a secure payment site to complete the payment for the applicable purchase price of the Goods.
  • Delivery of Goods
    • Polymath Solar provides two methods of delivery:
      • Courier; and/or
      • Self-collection.
    • For detailed information on delivery, please refer to our Help Centre, which is incorporated into these Terms by reference. Please be aware that our delivery charges are subject to change without prior notice, so we advise checking the Help Centre for the most current information. The applicable delivery charges will be visible in your cart during the checkout process.
    • Upon accepting your order, Polymath Solar or the Third-Party Seller will deliver the Goods to you as promptly as possible but within a maximum of 30 (thirty) days from the receipt of your payment ("Delivery Period"). In case we are unable to deliver within this period, we will notify you. Subsequently, within 7 (seven) days of receiving such notice, you have the choice to either cancel your order for the Goods or proceed. Opting to cancel your order will result in a reimbursement of the purchase price.
    • Polymath Solar's responsibility for delivering a product to you is considered fulfilled once the product is delivered to the physical address specified by you for the order's delivery. Polymath Solar shall not be liable for any loss or unauthorized use of the product after delivery to the nominated physical address.
    • Delivery is within the borders of South Africa only, at the time of launching this service.
  • Errors
    • We make every reasonable effort to accurately display the description, availability, purchase price, and delivery charges of Goods on the Website. Nevertheless, if any errors, not due to our gross negligence, appear on the Website, we shall not be held responsible for any losses, claims, or expenses associated with a transaction based on such errors. However, in the case of an incorrect purchase price, we will refund you for the amount already paid, or as otherwise detailed in the Returns Policy.
    • Polymath Solar will not be bound by any incorrect information about our Goods as displayed on third-party websites.
  • Gift Vouchers & Coupons
    • Periodically, Polymath Solar may offer physical or electronic gift vouchers ("Gift Vouchers") and promotional coupons or discounts ("Coupons") for use on the Website when purchasing Polymath Solar Goods. Gift Vouchers and Coupons are redeemable only during their validity period, and their expiry dates cannot be extended.
  • Daily Deals and Other Discounted Goods
    • At times, we may offer certain Goods at discounted prices through various special deals, including Daily Deals, App Only Deals, Bundle Deals, or other temporary promotions (each referred to as a "Deal"). These Deals are subject to specific conditions outlined in these Terms and/or on the Website, which define the parameters of the Deal. When purchasing a product within the Deal's scope, you will pay the discounted price ("Deal Price") for that product.
    • If a product falls outside the scope of a Deal, you will pay the standard (non-Deal) selling price on the Website ("Normal Price") for that product. For example, if you purchase more than one product within a Daily Deal, you will pay the Deal Price for the first product and the Normal Price for the subsequent products.
    • Daily Deals are available at our discretion during specific hours on weekdays and weekends. Please note that Daily Deals have limited stock, and they may expire if the stock runs out.
      • Quantities for Daily Deals are restricted, and once a Daily Deal is sold out, the relevant Goods may be available on the Website at their regular selling prices but not as a Daily Deal.
      • We do not guarantee a specific level of savings; the extent of the discount or deal is at Polymath Solar's sole discretion.
      • Each customer can purchase up to four units of each Daily Deal, limited to one order per day.
      • Adding a Daily Deal to your cart or completing the order for a Daily Deal without payment does not reserve the item for you. Polymath Solar requires payment within 24 hours of placing your order for a Daily Deal; otherwise, your order will be cancelled.
      • Polymath Solar reserves stock based on the order of payments received. Therefore, if you pay via EFT, there is a possibility that you may not secure the item if Polymath Solar receives your payment days later, and in the meantime, the Daily Deal sells out to customers who pay immediately.
      • The List Price displayed for Daily Deals and other discounted Goods is a suggested retail price provided by the supplier. In cases where the supplier hasn't furnished a recommended retail price, an estimate may be offered. When a product is sold by a Third-Party Seller, the List Price may be set by that Third Party Seller.
      • By purchasing a Daily Deal, you are also opting in for our Daily Deals newsletter as well as our general newsletter. You may opt out of these newsletters at any time, but opting out after purchase will not affect the value of the purchased Goods.
  • Bundle Deals
    • We may offer bundle deals for sale on the Website under the Bundle Deals tab. Each Bundle Deal will comprise two or more products combined either by us or as indicated on the Website.
    • Any savings or discounts resulting from purchasing a Bundle Deal instead of its individual components separately may be applied to each component product individually at our discretion. The actual purchase price (after applying any applicable savings or discounts) for each component product will be communicated to you during checkout and recorded in your order history. This information is relevant to potential refunds for returned products within a Bundle Deal, following our Returns Policy.
  • Third Party Sellers
    • When Goods are sold by a Third-Party Seller, Polymath Solar will clearly indicate this on relevant product pages and checkout pages. In such instances, Polymath Solar acts solely as a platform to facilitate transactions between Third Party Sellers and Polymath Solar customers. Unless specified otherwise, Polymath Solar is neither the buyer nor the seller of these Goods.
    • The Sale, formed upon acceptance of your order (as outlined in clause 6), for Goods sold by a Third-Party Seller, is solely between the registered user and the Third Party Seller. Polymath Solar is not a party to this sale.
    • The fulfilment of orders from Third Party Sellers may be the responsibility of the Third Party, or Polymath Solar may handle the fulfilment of the Goods on behalf of the Third Party. The Third-Party Seller is also responsible for providing an invoice to the registered user, if required.
    • Not all Third-Party Sellers are registered VAT (Value-Added Tax) vendors. Only registered VAT vendors among the Third-Party Sellers may charge VAT on Goods and issue a tax invoice. If a Third-Party Seller is not a registered VAT Vendor, they may not charge VAT on Goods and will not be able to issue a tax invoice.
    • While Polymath Solar strives to provide a safe and consistent experience, Polymath Solar will manage any returns under the CPA or ECT Act on behalf of the Third-Party Seller according to Polymath Solar's own Returns Policy. If such a claim escalates into a dispute, Polymath Solar may attempt to resolve it but is not obligated to do so. Any disputes must be resolved directly between you and the relevant Third-Party Seller.
  • Privacy Policy
    • We value your privacy and will take all reasonable precautions to safeguard it, as detailed in our Privacy Policy, which is incorporated into these Terms by reference.
    • We shall take all reasonable steps to protect the personal information of all users. For the purpose of this clause, "personal information" shall be defined as detailed in the Promotion of Access to Information Act 2 of 2000 (PAIA). The PAIA may be accessed on: https://www.justice.gov.za/legislation/acts/2000-002.pdf.
  • Changes to these Terms and Conditions
    • Polymath Solar reserves the right to make changes to any of these Terms and Conditions at its sole discretion. It is your responsibility to regularly review these Terms and Conditions to ensure your satisfaction with any changes. If you are not satisfied with any changes, please refrain from placing further orders or using the Website.
    • Any changes will apply only to your use of the Website after they have been posted on the Website. By using the Website after the updated Terms and Conditions are posted, you are considered to have accepted those changes.
  • Electronic Communications
    • By visiting the Website or sending emails to us, you consent to receiving electronic communications from us, our divisions, affiliates, or partners, in accordance with our Privacy Policy as described in clause 18 above.
  • Ownership and Copyright
    • The contents of the Website, encompassing all material, information, data, software, icons, text, graphics, layouts, images, sound clips, advertisements, video clips, trade names, logos, trademarks, designs, and service marks displayed on or integrated into this Website ("Website Content"), are legally protected, including but not limited to copyright and trademark law. The Website Content is the property of Polymath Solar, its advertisers, sponsors, and/or is licensed to Polymath Solar.
    • You do not gain any rights, title, or interest in or to the Website or the Website Content.
    • The use, distribution, or reproduction of the Website Content is prohibited unless expressly authorized in these Terms and Conditions or as otherwise stipulated by law. For permissions related to the commercial use of any Website Content, please contact us via our Help Centre.
    • If any Website Content has been licensed to Polymath Solar or belongs to a third party, your usage rights will be subject to the terms and conditions imposed by that licensor or third party from time to time, and you agree to comply with such third-party terms and conditions.
  • Disclaimer
    • Your use of the Website is entirely at your own risk, and you bear full responsibility for any risk or loss resulting from the use of the Website or reliance on any information within the Website.
    • While Polymath Solar takes reasonable measures to ensure the accuracy and completeness of the Website's content, Polymath Solar makes no express or implied representations or warranties regarding the quality, timeliness, operation, integrity, availability, functionality of the Website, or the accuracy, completeness, or reliability of any information on the Website. If any such representations or warranties are made by Polymath Solar's representatives, Polymath Solar shall not be bound by them.
    • Polymath Solar disclaims liability for any direct, indirect, or consequential damage, loss, or expenses arising out of or in connection with your access to or use of the Website and/or any content therein, unless provided otherwise by law.

    • Even though the Website may refer to or provide links to Third Party Websites, your use of such Third-Party Websites is at your own risk, and we are not responsible for any loss, expense, claim, or damage, whether direct, indirect, or consequential, arising from your use of such Third Party Websites or your reliance on any information contained within them.
  • Limitation of Liability
    • Polymath Solar cannot be held responsible for any inaccurate information published on the Website and/or any incorrect prices displayed on the Website, except in cases where such liability arises from the gross negligence or wilful misconduct of Polymath Solar, its employees, agents, or authorized representatives. You are encouraged to contact us to report any potential malfunctions or errors through our Help Centre.
    • POLYMATH SOLAR SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL LOSS OR DAMAGES ARISING FROM YOUR USE OF, OR RELIANCE ON, THE WEBSITE OR THE CONTENT CONTAINED IN THE WEBSITE; OR YOUR INABILITY TO USE THE WEBSITE, AND/OR UNLAWFUL ACTIVITY ON THE WEBSITE AND/OR ANY LINKED THIRD-PARTY WEBSITE; OR THE USE OF ANY OF THE PRODUCTS PURCHASED THROUGH THE WEBSITE.
    • YOU HEREBY INDEMNIFY POLYMATH SOLAR AGAINST ANY LOSS, CLAIM, OR DAMAGE THAT MAY BE SUFFERED BY YOURSELF OR ANY THIRD PARTY ARISING FROM YOUR USE OF THIS WEBSITE AND/OR ANY LINKED THIRD-PARTY WEBSITE.
  • Availability and Termination
    • We will make reasonable efforts to maintain the availability of the Website, except during scheduled maintenance periods, and reserve the right to discontinue providing the Website or any part of it with or without notice to you.
    • Polymath Solar may, at its sole discretion, terminate, suspend, and modify this Website, with or without notice to you. You agree that Polymath Solar will not be liable to you in the event it chooses to suspend, modify, or terminate this Website, except for processing any orders made by you prior to such actions, to the extent possible.
    • Failure to comply with your obligations under these Terms and Conditions, including any incident related to payment for Goods, may, in our sole discretion with or without notice, lead to the suspension and/or termination of your access to the Website without prejudice to any claims for damages or otherwise that we may have against you.
    • For the prevention of suspected fraud and/or where abuse of the Website is suspected, such as the creation of multiple user profiles to exploit a promotion or Coupon intended to be used once by you, Polymath Solar is entitled to blacklist you on its database (including suspending or terminating your access to the Website), refuse to accept or process payment on any order, and/or cancel any order concluded between you and Polymath Solar, in whole or in part, with notice to you. Polymath Solar shall only be liable to refund monies already paid by you (see Polymath Solar’s Returns Policy in this regard) and accepts no other liability that may arise as a result of such blacklisting and/or refusal to process any order.
    • You may choose to stop using the Website at any time, with or without notice to Polymath Solar.
  • Governing Law and Jurisdiction
    • These Terms and Conditions and our relationship and/or any dispute arising from or in connection with these Terms and Conditions shall be governed and interpreted in accordance with the laws of the Republic of South Africa. Your continued use of the Website will constitute your consent and submission to the jurisdiction of the South African courts regarding all proceedings, transactions, applications, or the like instituted by either party against the other, arising from any of these Terms and Conditions.
    • In the event of any dispute arising between you and Polymath Solar, you hereby consent to the non-exclusive jurisdiction of the Courts of the Republic of South Africa (Western Cape Division, Cape Town).
    • Nothing in this clause 26 or the Terms and Conditions limits your right to approach any court, tribunal, or forum of competent jurisdiction in terms of the CPA.
  • Notices
    • Polymath Solar designates UNIT 15, 595 on BREED, BREED STREET, MONTANA PARK, as its address for the service of all formal notices and legal processes in connection with these Terms and Conditions ("legal address"). Polymath Solar may change this address from time to time by updating these Terms and Conditions.
    • You designate the delivery address specified with your order as your legal address, but you may change it to any other physical address by giving Polymath Solar not less than 7 days’ notice in writing.
    • Notices must be sent either by hand, prepaid registered post, or email and must be in English. All notices sent –
      • by hand will be deemed received on the date of delivery.
      • by prepaid registered post will be deemed received 10 days after the date of posting.
      • by email will be deemed received on the date indicated in the “Read Receipt” notification. ALL EMAIL COMMUNICATIONS BETWEEN YOU AND US MUST MAKE USE OF THE “READ RECEIPT” FUNCTION to serve as proof that an email has been received.
  • Complaints
    • If you have a complaint about the goods or services provided by us or require information about our internal complaints-handling process, please get in touch with us through our Help Centre on the Website, or you can contact our call centre at 012 476 0350.
    • If we cannot resolve your complaint to your satisfaction or if we cannot resolve your complaint within 15 (fifteen) business days from the date you notified us, you can seek assistance from the Consumer Goods and Services Ombud ("CGSO") to help resolve the complaint.
